These Terms of Use ("Terms") govern your access to and use of RefLogix, including its website, application, features, content, and related services (collectively, the "Service").
RefLogix™ is a product of 3C's, LLC ("3C's," "RefLogix," "we," "us," or "our").
By creating an account, accepting an invitation, purchasing access, or using the Service, you agree to these Terms and acknowledge the RefLogix Privacy Policy.
If you do not agree, do not use the Service.
1. Eligibility
RefLogix is not directed to children under 13.
You may not create or use a RefLogix account if you are under 13.
If you are at least 13 but have not reached the age of legal majority where you live, you may use RefLogix only with the permission of a parent or legal guardian who accepts responsibility for your use of the Service.
You must provide accurate account information and maintain an email address you can access.
2. Your Account
Your RefLogix account is personal to you.
You are responsible for maintaining the confidentiality of your password and other authentication information and for activity performed through your account.
You may not:
- Share account credentials with another person
- Obtain unauthorized access to another user's account
- Circumvent authentication or security controls
- Misrepresent your identity or authority
- Use another person's account without permission
Notify us promptly at info@reflogix.com if you believe your account has been compromised.
3. What RefLogix Does
RefLogix is a personal operations, financial recordkeeping, and career-management platform for sports officials.
Features may include tools for organizing assignments, crews, officials, venues, travel, mileage, game fees, payments, expenses, receipts, certifications, camps, clinics, notes, sharing, career history, and tax-season records.
RefLogix is not an assigning authority.
It does not guarantee, issue, accept, decline, or modify assignments on behalf of conferences, leagues, associations, schools, assigners, supervisors, or other organizations unless a future feature expressly states otherwise.
4. Verify Your Assignment Information
You are responsible for confirming critical assignment details with the official source responsible for the assignment.
Information entered manually, imported, synchronized, received by email, or obtained from another system may be incomplete, delayed, duplicated, outdated, or incorrect.
Do not rely on RefLogix as the sole source for:
- Whether you have been officially assigned
- Game date or time changes
- Venue or travel changes
- Crew changes
- Cancellation or postponement
- Official rules, policies, or directives
- Safety-critical or emergency travel information
5. Financial Recordkeeping and Tax Center
RefLogix provides tools for organizing financial records related to officiating.
Those tools may include fees earned, payments received, outstanding amounts, reimbursements, allowances, expenses, mileage, receipts, paying organizations, classifications recorded by you, and preparer-oriented exports.
RefLogix is a recordkeeping and tax-organization tool. It is not tax-preparation software and does not provide tax, accounting, employment-classification, financial, or legal advice.
RefLogix does not:
- Determine whether you are an employee or independent contractor
- Determine whether an expense, mileage entry, reimbursement, or allowance is deductible or taxable
- Guarantee that any record satisfies IRS, state, local, employer, or payer requirements
- Calculate your complete federal, state, or local tax liability
- Prepare or file a tax return
- Replace a CPA, accountant, tax preparer, attorney, or tax-preparation software
You are responsible for reviewing your records and obtaining professional advice when appropriate.
6. User-Entered Information
You control the information you enter into RefLogix.
You are responsible for its accuracy, legality, and appropriateness.
This includes information concerning:
- Assignments
- Financial activity
- Expenses and receipts
- Mileage
- Paying organizations
- Crewmates and other officials
- Contact information
- Notes and journal entries
- Shared content
If you enter information about another person, including a name, email address, telephone number, or other contact information, you represent that you have a legitimate and lawful reason to maintain and use that information in connection with your officiating activities.
Do not use RefLogix as a repository for information you are not authorized to possess.
7. Your Content
You retain ownership of content and records you create or upload to RefLogix.
You grant 3C's, LLC a limited, non-exclusive license to host, store, reproduce, transmit, process, display, and otherwise use that content only as reasonably necessary to operate, secure, support, and improve the Service and provide features you request.
This license ends when the content is deleted from RefLogix's active systems, subject to the retention, backup, audit, legal, and account-deletion practices described in the Privacy Policy.
8. Sharing
Some RefLogix features allow information to be shared with other users or invited recipients.
You are responsible for selecting appropriate recipients and reviewing what you share.
Do not use sharing features to distribute confidential, restricted, private, defamatory, unlawful, or improperly obtained information.
Shared content may be viewed or acted upon by the recipient according to the feature's design. You should not share anything you would not want the intended recipient to retain.
9. Community and Professional Conduct
When using collaborative, sharing, note, communication, or future community features, you must follow the RefLogix Community Guidelines.
You may not use RefLogix to harass, threaten, impersonate, defraud, exploit, discriminate against, or unlawfully expose another person.
10. Prohibited Uses
You may not use RefLogix to:
- Violate applicable law or another person's rights
- Gain unauthorized access to accounts, systems, or data
- Upload malware or malicious code
- Probe, scan, exploit, reverse engineer, or interfere with security controls except where expressly permitted by law
- Scrape or harvest data from other users
- Send spam, scams, or deceptive communications
- Falsify financial or officiating records for fraudulent purposes
- Misuse sharing links or attempt to bypass access restrictions
- Impersonate another official, assigner, organization, or RefLogix representative
- Upload content that you do not have the right to use
- Interfere with the availability or operation of the Service
11. Third-Party Services
RefLogix relies on third-party service providers for functions such as infrastructure, database services, storage, email delivery, payment processing, mapping or location services, analytics, and customer relationship management.
Some optional features may interact with third-party assigning, calendar, or data sources.
Third-party services are governed by their own terms and practices.
RefLogix is not responsible for the independent operation, availability, accuracy, or policies of third-party services.
12. Subscriptions and Billing
Some RefLogix features may require a paid subscription.
If you purchase a recurring subscription, the price, billing interval, trial or promotional terms if any, and other material purchase terms will be presented before purchase.
Unless otherwise stated at checkout, a recurring subscription continues until canceled.
Payment processing is handled through RefLogix's payment provider.
You authorize the applicable charges when you complete checkout.
You may request cancellation using the billing controls available through RefLogix. Cancellation and access changes become effective according to the subscription status confirmed by the payment provider.
Refund eligibility, if any, is governed by the terms presented at purchase and applicable law. RefLogix does not make a blanket refund promise in these Terms.
Promotional, beta, founder, discounted, or other special pricing may carry separate eligibility or duration terms presented with the offer.
13. Beta and Early-Access Features
RefLogix may make beta, test, preview, or early-access features available.
Beta features may:
- Change
- Be unavailable temporarily
- Contain errors
- Have usage limits
- Be replaced or discontinued
Participation in beta testing does not guarantee that a feature will become generally available.
Feedback you voluntarily provide may be used to improve RefLogix.
14. Availability and Changes
We work to provide a reliable Service but do not guarantee uninterrupted or error-free availability.
Maintenance, provider outages, security events, software changes, or other circumstances may affect availability.
We may add, modify, limit, replace, or discontinue features when reasonably necessary to operate, secure, or improve RefLogix.
We will not intentionally alter your stored financial facts merely to change product presentation.
15. Account Suspension
We may restrict or suspend an account when reasonably necessary to:
- Protect RefLogix or another user
- Investigate suspected misuse
- Respond to security concerns
- Enforce these Terms or the Community Guidelines
- Comply with legal obligations
- Address payment or subscription issues
Where appropriate, we may provide notice or an opportunity to correct the issue.
16. Account Deletion
You may request account deletion through the available account controls.
Deletion disables and isolates the account.
RefLogix generally maintains a 30-day retention period before operational and personal account data becomes eligible for purge. During that period, restoration may be possible through authorized procedures.
After the retention period, operational data is scheduled for purge according to RefLogix's deletion lifecycle.
Certain limited billing, security, audit, fraud-prevention, legal, and business records may be retained longer where reasonably necessary or permitted by law.

17. RefLogix Intellectual Property
RefLogix, its software, design, branding, logos, interface, original documentation, and related materials are owned by or licensed to 3C's, LLC and are protected by applicable intellectual-property laws.
These Terms do not transfer ownership of RefLogix intellectual property to you.
"RefLogix™" and associated branding may not be used in a manner that suggests sponsorship, endorsement, or affiliation without permission.
18. Feedback
If you send suggestions, ideas, or feedback about RefLogix, you permit us to use that feedback to evaluate and improve the Service without an obligation to compensate you.
This does not transfer ownership of your underlying officiating records or other user content.
19. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, REFLOGIX IS PROVIDED "AS IS" AND "AS AVAILABLE."
WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE EXTENT PERMITTED BY LAW.
WE DO NOT WARRANT THAT:
- THE SERVICE WILL ALWAYS BE AVAILABLE OR ERROR-FREE
- THIRD-PARTY INFORMATION WILL BE ACCURATE OR CURRENT
- TAX OR FINANCIAL RECORDS WILL SATISFY EVERY USER'S LEGAL OR PROFESSIONAL REQUIREMENTS
- USE OF REFLOGIX WILL PREVENT LOST ASSIGNMENTS, MISSED PAYMENTS, TAX ISSUES, OR OTHER LOSSES
Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
20. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, 3C'S, LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF REFLOGIX.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF:
(A) $100; OR
(B) THE AMOUNT YOU PAID TO REFLOGIX DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations do not apply where prohibited by law.
21. Governing Law
Except where applicable consumer law requires otherwise, these Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.
Any dispute that is not otherwise resolved between you and 3C's, LLC may be brought in a court of competent jurisdiction in Virginia, subject to any rights that applicable law gives you to bring a claim elsewhere.
These Terms do not require mandatory arbitration.
22. Changes to These Terms
We may update these Terms as RefLogix changes or as legal, security, or operational requirements evolve.
The "Last Updated" date will identify the current version.
When a material change warrants additional notice or renewed acceptance, we may provide notice through RefLogix, email, or another appropriate method.
Your continued use after an effective update constitutes acceptance where permitted by law.
